We primarily provide B2B software as a service and AI automation services to clients in India and internationally.

2. Services and use

2.1 Scope of Services

CognyX AI provides:

• AI powered SaaS products and platforms on a subscription basis
• AI agents, automation and integration projects
• Ongoing support and maintenance, where agreed

The exact features and commercial details for your use are defined in our proposals, order forms, statements of work, or the plan you select on our website ("Order Documents").

2.2 Business use

Our Services are intended for business and professional use. You are responsible for ensuring that your use of the Services complies with all applicable laws and internal policies in your organisation.

2.3 Accounts and security

You are responsible for:

• Maintaining the confidentiality of login credentials
• All activity under your accounts
• Ensuring only authorised users have access

3. Fees, billing and payment processing

3.1 Fees

You agree to pay the fees specified in the applicable Order Documents or on our website. Fees may include:

• Recurring subscription charges
• Usage based charges
• One time setup or onboarding fees
• Project or retainer fees

3.2 Payment processing with Stripe

Online payments for our Services are processed securely by third party providers such as Stripe. By submitting your payment information, you authorise us and our payment processors to charge your selected payment method for all applicable fees and taxes.

For subscriptions and other recurring services, you authorise recurring charges in accordance with your billing cycle until you cancel in line with Section 5 and our Cancellation and Refund Policy.

3.3 Taxes

Prices are generally exclusive of applicable taxes. You are responsible for any taxes, duties or levies associated with your purchases, except for taxes based on our income.

4. Service delivery and changes

4.1 Digital delivery

Our Services are delivered digitally, through online dashboards, APIs, integrations and remote configurations. There is no physical shipping unless expressly agreed in writing.

4.2 Changes to the Services

We may improve or modify the Services over time. We will not remove core functionality of a paid Service during an active term in a way that materially degrades its primary purpose, without reasonable notice or without offering an alternative.

4.3 Availability

We aim to provide high availability, but the Services may be temporarily unavailable due to planned maintenance or unexpected issues. Any specific service level commitments will be described in Order Documents or separate service level agreements where applicable.

5. Cancellation and refunds

In short:

• You can cancel a subscription at any time
• Cancellation generally takes effect at the end of the current billing period
• Fees already paid are usually not refundable, except in limited situations described in the policy or where required by law

6. Customer responsibilities

You agree to:

• Provide accurate and complete information needed to deliver the Services
• Obtain all necessary rights and consents to share data and systems with us
• Use the Services only for lawful purposes

You must not:

• Use the Services to violate any law or third party rights
• Introduce malicious code or attempt to bypass security
• Reverse engineer or copy the Services to build a competing product

7. Intellectual property

7.1 Our rights

CognyX AI and its licensors own all rights, title and interest in and to:

• The Services, including software, models, documentation and interfaces
• Any improvements or derivative works created by or for CognyX AI
• All related trademarks and branding

We grant you a limited, non exclusive, non transferable, revocable licence to access and use the Services during your active term, subject to these Terms and the applicable Order Documents.

7.2 Your content

You retain ownership of your data, prompts, project inputs, training content and other materials that you provide ("Customer Content"). You grant us a licence to use Customer Content solely to:

• Deliver, operate and improve the Services for you
• Comply with legal obligations

We handle personal data within Customer Content in line with our Privacy Policy.

7.3 Feedback

If you share feedback or suggestions, we may use them without obligation to you.

8. Confidentiality

Each party may receive confidential or proprietary information from the other party ("Confidential Information"). The receiving party will:

• Use Confidential Information only for purposes of the business relationship
• Protect it with reasonable care
• Not disclose it to third parties except to employees, contractors and advisers who need to know and are under confidentiality commitments

These obligations do not apply to information that is already public, independently developed or lawfully received from a third party.

9. Data protection and privacy

explains how we collect, use and protect personal information. By using the Services, you consent to our handling of personal data as described in that policy.

10. Disclaimers

To the maximum extent permitted by law:

• The Services are provided "as is" and "as available"
• We do not guarantee that the Services will be uninterrupted or error free
• We do not guarantee specific business outcomes or performance improvements

You are responsible for determining whether the Services meet your needs.

11. Limitation of liability

To the maximum extent permitted by law:

• CognyX AI will not be liable for any indirect, incidental, consequential or special damages, or for loss of profits, revenue, data or goodwill
• Our total liability for any claims arising out of or related to the Services or these Terms will be limited to the total fees you paid to us for the Services giving rise to the claim during the twelve months before the event that gave rise to the claim

12. Indemnity

You agree to indemnify and hold harmless CognyX AI and its directors, employees and agents from any claims, losses, damages or expenses arising from:

• Your use of the Services
• Your breach of these Terms
• Your violation of any law or third party right

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date. Where required, we will also provide additional notice. Continued use of the Services after changes take effect means you accept the updated Terms.

14. Governing law and jurisdiction

These Terms are governed by the laws of India. Courts in Ahmedabad, Gujarat, India will have exclusive jurisdiction over any disputes, subject to applicable law.
